The Journal of Corporate Finance publishes only original quality manuscripts (theoretical and empirical) on the contractual arrangements that govern firms, including financial contracts, corporate governance structures, and business contracts. The Journal differs from any existing journal in economics and finance by concentrating solely on issues concerning financial contracts, corporate governance and business contracting that are important to the functioning of the modern corporation. Additionally, the Journal will combine the disciplines of industrial organization, financial economics, corporate finance, corporate law, econometrics, and accounting into the analysis of the modern corporation in an international context.Possible topics include, but are not limited to: incentive structures contained in business contracts; executive compensation, the structure of equity and debt ownership; the role of boards of directors; corporate voting rights, the effect of financial distress on the governance of firms; franchising; corporate restructuring; corporate takeovers and proxy contests; the design of securities; how legal differences in the rights of creditors affect the complexity of debt contracts across countries; the ways in which multinational companies organize the production of similar products in countries with different contracting environments; the effects of regulation on corporate governance and business contracts; factors affecting the structures of vertical contracts and the degree of vertical integration; comparative studies of vertical contracts across countries; joint ventures and strategic alliances; accounting issues related to corporate governance and business contracting; the application of option pricing to corporate contracting issues; factors affecting the degree of decentralization in firms; and financial sector reform and corporate contracting issues in Eastern European and the developing countries.All manuscripts submitted for consideration for publication will be promptly reviewed and processed.
